1. Parties and acceptance
AfripayStudio is operated by Afrigates Digital Limited ("Afripay", "we", "us"), CAC Reg. No. 9332314.
This Seller Agreement is between Afrigates Digital Limited and you (the "Creator") when you publish an offer, connect a payment gateway, or otherwise sell through AfripayStudio.
By publishing or connecting a gateway, you agree to this Agreement, the Platform Terms of Service, and the Acceptable Use Policy.
2. Role of the parties
Contract labels must match reality: gateway account ownership, payment receipts, settlement, and your conduct must align with this Agreement.
- AfripayStudio provides software and hosting tools used to display your offer and facilitate checkout technology.
- You are the seller of your offer. Where the legal and technical arrangement supports it, you are the merchant of record for your creator sales.
- In the standard model, payments are processed through your own configured payment gateway and settle to you—not to Afripay’s operating account.
- AfripayStudio does not receive or hold those sales funds in the standard direct-payment model.
3. Creator responsibilities
These responsibilities apply subject to any duties that applicable law imposes on AfripayStudio as a platform operator.
- Accuracy of product descriptions, pricing, and marketing claims.
- Fulfilment, delivery, access provisioning, and customer support.
- Refunds, returns, cancellations, and chargebacks with your payment provider.
- Applicable taxes, consumer-law duties, and industry compliance.
- Disclosing seller identity, price, delivery terms, and refund terms before purchase (including via the Creator Checkout Disclosure).
- Complying with gateway provider terms and keeping API keys secure.
4. Gateway connection
Connecting Flutterwave, Paystack, Stripe, or another supported gateway authorises AfripayStudio only as needed to initiate checkouts and verify payment status for your offers, subject to the provider’s terms and your authorisation.
Connecting a gateway does not automatically authorise AfripayStudio to access all gateway account data or KYC records beyond what the provider and your authorisation permit.
5. Content and intellectual property
You retain ownership of your original product content. You grant Afripay a worldwide, non-exclusive licence to host, display, cache, and process that content as needed to provide the Services.
You represent that you have rights to the content you upload and that it does not infringe others’ rights.
Afripay may remove or disable content that appears unlawful, infringing, or abusive under the Acceptable Use Policy.
6. Enforcement
Afripay may suspend or remove fraudulent, unlawful, or abusive offers under a fair, documented process. Serious abuse may result in account termination and reports to authorities or payment providers.
7. Indemnity
You will indemnify Afrigates Digital Limited against claims arising from your offers, content, customer disputes, refunds, chargebacks, taxes, or marketing claims, except to the extent prohibited by law or caused by Afripay’s wilful misconduct.
8. Escrow
If you use Afripay Escrow for a transaction, the Afripay Escrow Agreement and escrow disclosures apply to that transaction only—not to ordinary direct-to-creator payments.
