1. Agreement
AfripayStudio is operated by Afrigates Digital Limited ("Afripay", "we", "us"), CAC Reg. No. 9332314.
These Platform Terms of Service ("Terms") govern access to and use of AfripayStudio websites, applications, Business Builder, Product Manager, Content Builder, buyer workspace technology, AI tools, templates, marketplace surfaces, and related software (collectively, the "Services").
By creating an account, purchasing a Studio plan, or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
Additional terms apply when you publish offers (Seller Agreement), subscribe to paid Studio plans (Subscription and Billing Terms), purchase from a creator (Buyer Purchase and Refund Terms), or use Afripay Escrow where offered (Afripay Escrow Agreement).
2. What AfripayStudio provides
AfripayStudio provides software and hosting infrastructure so creators can build and publish sales funnels, product pages, and related business tools on Afripay domains (including creator slugs).
In the standard creator-owned payment model, AfripayStudio is not the seller of the creator’s product and does not receive or hold the creator’s sales funds. The creator sells the product and collects payment through the payment gateway they configure.
Afripay may charge you separately for Studio subscriptions or platform services on Afripay’s own merchant account.
3. Eligibility and accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.
- You must provide accurate account information and keep credentials secure.
- You may not share accounts in ways that violate plan limits or these Terms.
- We may require identity or risk checks before certain features (including Go Live or payout-related tools).
4. Acceptable use
You must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or remove accounts or content that violate the AUP or applicable law, under a documented enforcement process.
5. Creator offers and payments (standard model)
If you publish offers or connect a payment gateway, the Seller Agreement also applies.
Payments for creator offers are processed through the creator’s own configured gateway (for example Flutterwave, Paystack, or Stripe) and settle according to that gateway’s and the creator’s arrangements—not into Afripay’s operating account under the standard model.
Calling a creator the merchant of record in our contracts does not replace the actual checkout flow, gateway ownership, receipts, and conduct, which must match that arrangement.
6. AfripayStudio subscriptions
Paid Studio plans, renewals, cancellations, upgrades, and refunds for AfripayStudio software access are governed by the Subscription and Billing Terms and the plan details shown at checkout.
7. Afripay Escrow (separate)
Where Afripay Escrow (or Afripay Global escrow features) is offered and you elect to use it, a separate Afripay Escrow Agreement and escrow-specific disclosures apply. Escrow wording must not appear on ordinary direct-to-creator checkout pages.
8. AI-generated content
The Services may use AI to generate copy, funnels, reports, and recommendations. Outputs may be incomplete, outdated, or incorrect. You must review all AI-generated content before publication or business use. See our AI Business Report Disclaimer, Earnings Disclaimer, and Business Success Caveat.
9. Intellectual property
Afripay retains ownership of the platform, software, branding, templates structure, and knowledge systems, except where a separate Enterprise license expressly transfers rights.
You retain ownership of content you upload. You grant Afripay a worldwide, non-exclusive licence to host, display, and process that content solely to operate the Services. Creator Content and IP details are further set out in the Seller Agreement.
10. Service availability
We aim for reliable uptime but do not guarantee uninterrupted access. Maintenance, third-party outages, or force majeure may affect availability.
11. Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFRIPAY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Afripay does not guarantee sales, earnings, leads, or business success. Nothing in these Terms excludes liability that cannot be excluded under applicable Nigerian law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFRIPAY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES RELATING TO THE SERVICES IS LIMITED TO AMOUNTS YOU PAID TO AFRIPAY FOR THE RELEVANT STUDIO SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
12. Indemnity
You agree to indemnify and hold harmless Afrigates Digital Limited and its officers from claims arising from your content, offers, marketing claims, customer disputes, unlawful use of the Services, or breach of these Terms or the Seller Agreement—except to the extent caused by Afripay’s wilful misconduct where liability cannot be limited by law.
13. Termination
- You may stop using the Services and cancel subscriptions per the Subscription and Billing Terms.
- We may suspend or terminate access for breach, abuse, legal requirements, or risk.
- Upon termination, hosted access may end; export options depend on your plan.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
Parties will attempt good-faith resolution before formal proceedings. Subject to mandatory law, courts in Lagos, Nigeria have jurisdiction.
15. Changes and contact
We may update these Terms. Material changes will be posted with an updated date and, where appropriate, notified in-product. Continued use after the effective date constitutes acceptance where permitted by law.
