1. Agreement
These Terms & Conditions ("Terms") govern access to and use of Afripay Studio websites, applications, Business OS workspaces, AI tools, launch reports, marketplace, checkout, and related services (collectively, the "Services") operated by Afripay Studio ("Afripay", "we", "us").
By creating an account, purchasing a plan, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility & accounts
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You are responsible for maintaining accurate account information and safeguarding credentials.
- You may not share accounts in ways that violate plan limits or license terms.
3. Subscriptions & plans
Afripay Studio offers hosted plans including Business Launch Kit (one-time), Business OS (monthly/annual), Founder Lifetime, agency and whitelabel products, and bundled offerings as displayed at checkout.
Enterprise Platform License (source code transfer) is a separate product governed by its own license agreement and application process — not covered by standard hosted plan Terms alone.
- Prices, features, and plan names may change with notice where required.
- Recurring subscriptions renew until cancelled according to your plan terms.
- Founder and lifetime offers are subject to the feature scope described at purchase.
4. Payments & refunds
Payments are processed through third-party payment providers (e.g., Flutterwave, Paystack). You authorize charges for selected plans, taxes, and applicable fees.
Refund eligibility is described in our Refund Policy. Digital provisioning may begin immediately after payment.
5. Business Kit provisioning
After payment, Afripay may automatically provision websites, funnels, CRM workspaces, dashboards, templates, and related assets ("Business Kit"). Provisioning times vary; displayed timelines are targets, not guarantees.
You are responsible for customizing content, verifying accuracy, and complying with laws applicable to your business.
6. AI-generated content
The Services use artificial intelligence to generate launch reports, recommendations, copy, funnels, and coaching outputs. AI outputs may be incomplete, outdated, or incorrect.
You must review all AI-generated content before publication or business use. See our AI Business Report Disclaimer.
7. Acceptable use
You agree not to misuse the Services, including illegal activity, fraud, spam, malware, infringement, harassment, or attempts to bypass security or licensing limits. See our Acceptable Use Policy.
8. Intellectual property
Afripay retains ownership of the platform, templates, software, branding, and knowledge base except where a separate Enterprise Platform License explicitly transfers source code rights.
You retain ownership of content you upload. You grant Afripay a license to host and process your content to provide the Services.
9. Service availability
We strive for reliable uptime but do not guarantee uninterrupted access. Maintenance, third-party outages, or force majeure may affect availability.
10. Termination
- You may cancel subscriptions according to plan terms.
- We may suspend or terminate access for breach of Terms, abuse, or legal requirements.
- Upon termination, access to hosted workspaces may end; export options depend on your plan.
11. Disclaimers & limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFRIPAY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AFRIPAY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO AMOUNTS YOU PAID FOR THE RELEVANT SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
12. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
Parties agree to attempt good-faith resolution before formal proceedings. Courts in Lagos, Nigeria shall have jurisdiction unless otherwise required by mandatory law.
13. Changes & contact
We may update these Terms. Material changes will be posted with an updated date. Continued use after changes constitutes acceptance.
